Latino Executive Exchange™ (LEE): Terms and Conditions & Code of Conduct

Welcome to Latino Executive Exchange™ (LEE) (“LEE,” “we,” “our,” or “the Organization”). By applying for membership, accessing our services, participating in our programs, events, platforms, communities, or professional networks, you agree to comply with the following Terms and Conditions and Code of Conduct.
These policies are intended to maintain a professional, ethical, respectful, and inclusive environment for professionals and aspiring professionals across all industries and stages of career development.

1. Purpose of the Organization
LEE exists to foster professional development, networking, mentorship, collaboration, leadership, education, and opportunities for professionals and aspiring professionals.


All members are expected to contribute positively to the integrity, professionalism, and reputation of the organization and its community.

2. Membership Eligibility


Free Membership Tier


Latino Executive Exchange™ (LEE)’s LEE Connect is the free membership tier that is open to the public and does not require a background check. It does however require an application process that must be approved.


Individuals who join under the free membership tier acknowledge that access may be limited compared to paid membership tiers and that participation remains subject to all organizational rules, policies, and standards of conduct.

Paid Membership Tiers


All applicants applying for any paid membership tier, leadership role, advisory role, partnership designation, mentorship role, speaking role, or other elevated organizational access must be able to successfully pass a background check, requested by Latino Executive Exchange™ (LEE).

Latino Executive Exchange™ (LEE) reserves the right to deny, suspend, or revoke paid membership access based on the outcome of a background check or the discovery of information, regarding past or current events, that may reasonably conflict with the organization’s standards, mission, reputation, safety, or professional integrity.

Failure to cooperate with a requested background check process may result in denial or revocation of paid membership eligibility. Failing to pass a background check may also bar applicants from membership in the free membership tier.

3. Professional Conduct Expectations

All members are expected to conduct themselves in a professional, ethical, respectful, lawful, and responsible manner while participating in any LEE Connect activity, including but not limited to:

  • Events
  • Conferences
  • Networking activities
  • Online communities
  • Messaging platforms
  • Social media interactions connected to LEE
  • Mentorship programs
  • Partnerships
  • Volunteer activities
  • Leadership activities

Members must treat others with dignity, professionalism, and respect regardless of background, profession, experience level, identity, gender, or viewpoint.

4. Prohibited Conduct

The following behaviors are prohibited and may result in disciplinary action, suspension, or revocation of membership:

Unethical Conduct


Including but not limited to:

  • Fraudulent behavior
  • Misrepresentation of credentials, affiliations, or experience
  • Harassment or intimidation
  • Discrimination
  • Exploitation of members for personal gain
  • Abuse of organizational access or influence
  • Violations of confidentiality
  • Dishonest or deceptive conduct
  • Undermining colleagues
  • Deliberately obstructing or disadvantaging others
  • Unethical competitive conduct
  • Abuse of influence or authority
  • Conflicts of interest that are intentionally concealed

 

Criminal Conduct

Including but not limited to:

  • Illegal activity
  • Violent conduct or threats
  • Financial crimes
  • Identity theft
  • Cybercrime
  • Harassment or stalking
  • Sexual misconduct

Any conduct resulting in criminal charges or convictions that may reasonably impact the safety, integrity, or reputation of the organization

Unprofessional Conduct

Including but not limited to behaviors reasonably considered to be unprofessional, such as:

  • Repeated disruptive behavior
  • Abusive or hostile communication
  • Public conduct that substantially damages the reputation of the organization
  • Persistent disrespect toward members, staff, partners, or leadership
  • Inappropriate conduct during events or online interactions
  • Retaliation against members or leadership
  • Conduct inconsistent with the standards of a professional organization

Latino Executive Exchange™ (LEE) reserves the right to determine, in its reasonable discretion, whether conduct violates organizational standards.

5. Investigations and Enforcement

Instances involving alleged violations of these Terms and Conditions or Code of Conduct will be reviewed and investigated on a case-by-case basis.

Investigations and decisions regarding disciplinary actions, suspension, or revocation of membership shall be made by the Managing Partners of Latino Executive Exchange™ (LEE) or their designated representatives.

The organization reserves the right to request relevant information, documentation, statements, or cooperation from involved parties during any review process.

Failure to cooperate with an investigation may itself result in disciplinary action.

6. Revocation of Membership

Membership in Latino Executive Exchange™ (LEE) may be revoked at any point in time for just cause.

Grounds for revocation include, but are not limited to:

  • Unethical behavior
  • Criminal behavior
  • Conduct reasonably considered unprofessional
  • Violations of organizational policies

Actions that jeopardize the safety, integrity, mission, reputation, or operations of the organization or its members
Revocation decisions shall be determined at the discretion of the Managing Partners of Latino Executive Exchange™ (LEE) following review of the relevant circumstances.

The organization reserves the right to revoke access to programs, communities, leadership roles, events, partnerships, or member benefits immediately where deemed necessary.

7. Organizational Rights

Latino Executive Exchange™ (LEE) reserves the right to:

  • Modify membership requirements
  • Update policies and procedures
  • Suspend or terminate access to organizational services
  • Refuse membership applications
  • Remove individuals from events or communities
  • Protect the organization’s reputation, members, operations, and mission

Policy updates may take effect immediately upon publication or communication to members.

8. Limitation of Liability

Participation in Latino Executive Exchange™ (LEE) activities is voluntary.

Latino Executive Exchange™ (LEE), its leadership, affiliates, partners, volunteers, and representatives shall not be liable for disputes, damages, losses, injuries, or claims arising from member interactions, third-party conduct, or participation in organizational activities, except where prohibited by applicable law.

9. Privacy and Confidentiality

Members are expected to respect the privacy and confidentiality of fellow members, speakers, partners, and organizational information.

Unauthorized sharing of confidential, proprietary, or sensitive information obtained through Latino Executive Exchange™ (LEE) activities may result in disciplinary action or revocation of membership.

10. Force Majeure (Act of God Clause)

Latino Executive Exchange™ (LEE) shall not be held liable or responsible for any delay, disruption, suspension, cancellation, or failure to perform any obligation, service, program, event, or activity resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of God, hurricanes, floods, fires, pandemics, public health emergencies, governmental actions, war, terrorism, civil unrest, labor disputes, utility failures, internet or technology outages, transportation disruptions, or other unforeseeable events.

In the event of such circumstances, Latino Executive Exchange™ (LEE) reserves the right to modify, postpone, suspend, cancel, or limit organizational operations, services, programs, memberships, benefits, or events without liability where reasonably necessary.

Nothing in this clause shall requireLatino Executive Exchange™ (LEE) to continue operations or fulfill obligations where doing so would be impractical, unsafe, unlawful, or impossible due to circumstances beyond the organization’s reasonable control.

11. Acceptance of Terms
By applying for membership, participating in organizational activities, or accessing Latino Executive Exchange™ (LEE) platforms or services, members acknowledge that they have read, understood, and agreed to comply with these Terms and Conditions and Code of Conduct.

Failure to comply may result in suspension, removal, or permanent revocation of membership and organizational access.
